Mike Aviles, president and CEO, Vignette Corporation

Mike Aviles is president and chief executive officer at Vignette Corporation. Aviles was appointed as CEO in February, 2006. As president and CEO, Aviles is responsible for all global operations, including sales, marketing, professional services, product and business development.

Prior to joining Vignette, Aviles was chairman, president and chief executive officer of Activant Solutions, Inc., a market-leading provider of software and information services to the automotive aftermarket, hardware and lumber industries. At Activant, Aviles drove the company to five consecutive years of strong earnings growth and successfully completed a public offering of high-yield debt to institutional investors. Prior to Activant, Aviles served as president and CEO of Foster Grant Group, a leading marketer and distributor of popular priced consumer eyewear. He also held senior executive roles at FOOTACTION USA, an athletic specialty retailer, serving as a key member of the management team that aggressively grew the company to a half billion dollars in revenue. Aviles began his career as a Certified Public Accountant with KPMG Peat Marwick.

Aviles received his MBA from the Stanford University Graduate School of Business and has a BBA from Pace University. He also serves as an officer for the Austin chapter of Young Presidents' Organization.

Henry DeNero, former EVP of First Data Corporation, and vice chairman and CFO of Dayton Hudson Corporation

Henry T. DeNero joined the Vignette Board of Directors in January 2005. DeNero was formerly executive vice president of First Data Corporation, a computer services company focusing on financial and transaction processing markets, and vice chairman and chief financial officer of Dayton Hudson Corporation (now Target Corporation).

DeNero's experience also includes tenure as chairman and chief executive officer of HomeSpace, Inc., an Internet company in the real estate and mortgage services business that was sold to LendingTree, Inc. Prior to joining Dayton Hudson in 1992, DeNero was a senior partner with the management consulting firm McKinsey & Company. An independent management consultant, DeNero currently serves on the boards of Western Digital Corp., Banta Corporation, THQ Inc., and Digital Insight Corporation.

Kathleen Earley, former senior vice president and chief marketing officer, AT&T

Kathleen Earley joined the Vignette Board of Directors in May 2004. Earley was senior vice president and chief marketing officer at AT&T, a position in which she had responsibility for all AT&T business-related brand, image, advertising and marketing strategy. Previously, Earley was president of AT&T Data and Internet Services, where she grew the unit to an $8 billion entity that provided Internet Protocol, Web hosting, data and managed network services to businesses worldwide. Earley retired from AT&T in June 2002.

Earley has more than 26 years of experience as a senior operational and strategy executive with industry leaders like IBM and AT&T. She is currently a member of the Board of Directors of Computer Network Technology (CMNT) as well as Telespree Communications and Switch and Data. Her role as an industry visionary has won her recognition from publications including Information Week, Network World, and Telephony magazines.

Earley has a B.S. in accounting and a M.B.A. in finance from the University of California, Berkeley. Earley joined AT&T after 17 years with IBM, where she had a distinguished career in sales, marketing, planning and strategy development. She was formerly on the board of directors of Standard Microsystems Corporation and Blue Sky Productions as well as the Hewlett Packard Global Advisory Board.

Joseph M. Grant, chairman, Texas Capital Bancshares

Joseph M. "Jody" Grant joined the Vignette Board of Directors in October 2003. Grant is currently chairman and CEO of Texas Capital Bancshares Inc. as well as chairman of Texas Capital Bank and its Internet division, BankDirect. In December 2001, the leading financial publication American Banker named Grant as its Community Banker of the Year.

Prior to Texas Capital Bancshares, Grant was executive vice president and chief financial officer of EDS, where he was responsible for a financial organization with more than 3,000 employees. He directed its treasury operations, all accounting functions, tax, audit, investor relations, and administrative services. He also co-led the successful spin-off of EDS from its parent General Motors, then the fourth largest transaction in U.S. history.

Grant earned a doctorate in finance and economics from The University of Texas in addition to his undergraduate degree from Southern Methodist University. Following completion of his doctorate, Grant served as senior vice president and economist at Houston's Texas Commerce Bank, where he formulated and implemented the expansion strategy that formed Texas Commerce Bancshares and led the company's efforts in 35 subsequent acquisitions. In addition to serving on Vignette's board, Grant serves on the boards of KERA, M.D. Anderson Cancer Center, Southern Methodist University's Tate Lecture Series, Communities Foundation of Texas and Wingate Partners.

Jeff Hawn, chairman, president and CEO, Attachmate

As chairman, president and CEO of Attachmate, Jeff Hawn is responsible for corporate direction as well as business and acquisition strategies.

Since 2004, he has been an operating partner with JMI Inc., where he leads the firm's private equity acquisition and operating activities, focusing primarily on the mainframe software markets. Previously, Hawn was a senior vice president at BMC Software, holding a variety of strategic positions during his tenure. He additionally spent time as a partner at McKinsey & Company, a global consulting company.

An active member on several boards, Hawn serves as a director of Applimation, Pervasive Software and Vignette. He holds a bachelor of science degree in Mechanical Engineering from Southern Methodist University and a master of business administration degree from the University of Texas.

Michael Lambert, former senior vice president of the Enterprise Systems Group at Dell

Michael Lambert joined the Vignette Board of Directors in September 2002, and served as chairman from June 2003 to August 2005. Lambert brings to Vignette more than 30 years of experience in the computer industry in senior executive roles for companies such as Dell Computer Corp., Compaq Computer Corp. and NCR Corp. Most recently, Lambert served as senior vice president of the Enterprise Systems Group at Dell and as a member of a six-man operating committee reporting to the Office of Chairman.

Prior to joining Dell, Lambert served as vice president of sales and marketing for Compaq. Lambert also served as vice president and general manager for the Large Computer Products division at NCR/AT&T Corp, where he spent more than 16 years serving in various senior-level roles in product management, sales and software engineering. In addition to the Vignette board, Lambert serves on the boards of directors of Western Digital Corp. and Panasas Inc., a private network storage provider.

Jan H. Lindelow, chairman, Vignette Corporation

A member of the Vignette Board of Directors since October 2002, Lindelow assumed the role of chairman in August 2005. Lindelow has extensive experience managing global multi-billion dollar businesses as well as smaller, entrepreneurial companies. Lindelow joined Tivoli, a unit of the IBM Software Group in June 1997 and served as chairman and CEO of Tivoli until Spring of 2001. He then became vice president, Emerging Business Development for IBM until his retirement in 2002.

Prior to Tivoli, he was president and COO of Symbol Technologies. He also served in several senior executive positions with Asea Brown Boveri (ABB). At Unisys/Sperry Computer Systems, Lindelow was president of Worldwide Sales and Services, and spearheaded the company's entry into UNIX and other open markets. He joined Sperry in his native Sweden where he subsequently became president of Sperry's Nordic Group. Lindelow earned a masters of science in engineering from the Royal Institute of Technology in Stockholm, Sweden.
